Terms of Use
1. Who we are
Backrefs is operated by Stealth Code Ltd, Alexander Stamboliyski Blvd 130-132, floor 4, office 5, 1309 Sofia, Bulgaria (UIC 204426355, VAT number BG204426355) (“we”, “us”). These terms are an agreement between us and you (“you”, the customer) and apply whenever you use Backrefs: the website, the app, the API and the MCP connector (together, the “Service”). Questions about these terms: [email protected].
By creating an account, or by continuing to use the Service, you accept these terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Business use only
The Service is for businesses and professionals only. By using it you confirm that you are at least 18 years old and that you are acting for the purposes of your trade, business or profession (for example, promoting your own websites or your clients’), not as a consumer. If you use the Service on behalf of a company, you confirm you are authorised to accept these terms for it. Consumer protection rules that apply only to consumers, including the right of withdrawal, do not apply to your use of the Service.
3. What the Service does
Backrefs automates the creation and posting of backlinks. You choose a target URL and a campaign type; we generate content (including articles written by AI) and post it, with a link to your target, on publicly available third-party websites, in one or more tiers. We may add, change or remove sites, campaign types and features at any time.
4. Your account
- You must give accurate information when you sign up and keep your login details secure. You are responsible for everything done through your account.
- The same applies to API keys and to AI apps you connect to your account (for example through the MCP connector): anything they do counts as done by you, including spending tokens. Spending limits you set on a key or connected app are your responsibility; revoke a key or disconnect an app as soon as you no longer trust it.
- To help you with a support request, our staff may view your account in a read-only mode. They cannot make changes, start campaigns or spend tokens while doing so.
5. Subscriptions, trial and payments
- Using the Service requires an active subscription. Plans are billed monthly in advance, in US dollars, and renew automatically each month until cancelled. Prices and the tokens each plan includes are shown on our pricing page. Taxes such as VAT are added where applicable.
- Free trial. The trial lasts 3 days and needs a payment card. Unless you cancel before it ends, it converts automatically into the paid plan you chose and your card is charged. Each customer can use the trial once.
- Cancelling. You can cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period; you keep access until then.
- Changing plan. An upgrade starts a new billing period immediately and is charged at the new plan’s full price, with no credit for unused time on the old plan; you keep any unspent tokens you already have. A downgrade takes effect at the end of the current billing period.
- Failed payments. If a payment fails, your tokens are frozen straight away (see section 6) until the payment succeeds.
- No refunds. Subscription fees and top-up purchases are non-refundable, except where the law requires otherwise. If a payment is fully refunded, the unspent tokens it bought are removed from your account.
- Chargebacks. If you dispute a payment with your bank or card issuer, your account is suspended, your subscription is cancelled immediately and your tokens are frozen. A suspended account stays suspended until we lift it. Contact us first and we will try to resolve the issue.
6. Tokens
You pay for work in the Service with tokens. These rules apply to all tokens:
- Subscription tokens are added at each renewal and expire 30 days after they are added. Unused subscription tokens do not roll over.
- Top-up tokens can be bought only while you have an active paid subscription (not during the trial), and expire 90 days after purchase.
- Trial tokens expire when the trial ends.
- The tokens closest to expiring are always spent first.
- Frozen tokens. If your subscription stops being active (a failed payment, a cancellation that has taken effect, or a suspension), your tokens are frozen: you keep them, but cannot spend them until your subscription is active again. Tokens keep expiring while frozen, and a token that expires while frozen is lost.
- Tokens have no cash value. They cannot be exchanged for money, transferred to another account or sold.
- Expired tokens are not restored.
7. What you are charged for
- You pay only for delivered backlinks. Each backlink that is successfully posted costs 1 token, except blog comments, which cost 1 token per 25 delivered comments (rounded up per campaign tier). Generating the content is included in that price.
- When you start a campaign, we reserve the tokens it could need if every post succeeded. When the campaign finishes, you are charged only for what was delivered and the rest of the reservation is returned to your balance automatically. Failed posts cost nothing.
- If your link already exists on a site, it is not charged.
- Reading a page (when we read your page to suggest keywords and content) costs 1 token per page and is refunded if the read does not succeed.
- Authority Boost is a flat 50 tokens per campaign. It is charged in full if at least 30% of the redirects it sets out to place are delivered, and refunded in full otherwise. You keep every redirect that was delivered either way.
- Indexing. If you choose indexing through our account, you pay 1 token for each URL that our indexing provider reports as indexed by Google; tokens for URLs that are not indexed are refunded when the submission is settled. If you use your own indexing-provider key, no tokens are charged; you pay the provider directly under its terms. We do not promise that, or when, any URL will be indexed.
- Cancelling a campaign stops further work, and tokens for work not yet started are refunded. Posts already sent may still go live and are charged.
8. Third-party sites and your links
The sites we post to are independent third-party websites. We do not own, operate or control them, and we have no administrative access to them. This means:
- Links are delivered as is, at the moment they are posted.
- Whether a link stays online, and for how long, depends on each site’s own policies and its owner’s decisions. Site owners can edit, hide or remove posts and links at any time, and sites can go offline.
- Once a post is published, we cannot edit or remove it. Deleting a campaign in Backrefs deletes only our records; the posts stay on the sites.
- We do not monitor, maintain or replace links after delivery, and a link that is later removed is not refunded.
9. No guarantee of results
We do not guarantee any search engine ranking, traffic, indexing or other result. Search engines decide independently how they treat links, and they may ignore, devalue or penalise them. You use backlinks at your own risk and are responsible for deciding whether they suit your sites and your clients.
10. Content and acceptable use
Articles and other content are generated automatically, including by AI, from the information you give us. You are responsible for your target URLs, anchors, keywords and anything else you submit, and for making sure your use of the Service and the generated content is lawful. You may not use the Service to promote or link to:
- illegal content or activities;
- malware or any other harmful software;
- phishing or other attempts to deceive people into giving up information or money;
- adult content.
You also may not try to get around the Service’s limits or security, overload it, or access it other than through the website, the app, the API and the MCP connector we provide. We may refuse, stop or remove a campaign that breaks this section, and tokens already spent on it are not refunded.
11. Your data and its deletion
- If your subscription ends and you do not start a new one, your campaigns, generated articles, posting history and support tickets are permanently deleted one month after your last paid period ends. We email you 7 days before. Subscribing again before then, or choosing the data-keeping plan offered when you cancel, stops the deletion.
- We keep your login, billing records and token history after that, as needed for accounting, tax and fraud prevention.
- Accounts whose email address is never verified are deleted after 48 hours.
- We do not keep the text of generated articles forever. Keep your own copy of anything you need, such as campaign reports.
- To ask us to delete your account, email [email protected].
How we handle personal data is described in our Privacy Policy.
12. Availability and maintenance
We aim to keep the Service available but do not promise it will be uninterrupted or error-free. We may pause posting, stop new campaigns from starting, or take the Service offline for maintenance or to protect it. Work paused this way resumes afterwards; it is not charged while paused.
13. Referral program
Customers on a paid plan can join our referral program. Commissions, tracking and payouts are handled by our affiliate partner, AffiliateBase, under the program terms shown there. Referring yourself or your own accounts earns nothing, and we may withhold commissions earned through fraud or abuse.
14. Liability
The Service is provided “as is” and “as available”. To the extent the law allows:
- we are not liable for indirect or consequential losses, including lost profits, revenue, business, rankings, traffic or data, or search engine penalties;
- our total liability to you for all claims relating to the Service is limited to the fees you paid us for the billing period in which the event that gave rise to the claim occurred, including any top-ups bought in that period.
Nothing in these terms limits liability for intentional misconduct, gross negligence, fraud, or anything else that cannot be limited by law.
You will compensate us for claims, losses and costs we incur because of your target URLs, the content you submit, or your breach of these terms.
15. Suspension and termination
You can stop using the Service at any time by cancelling your subscription. We may suspend or close your account if you breach these terms, if required by law, or to protect the Service or others. When an account is closed for a breach, unspent tokens are not refunded.
16. Changes to these terms
We may update these terms. When we do, we change the date at the top of this page, and for significant changes we will make reasonable efforts to tell you in advance. If you keep using the Service after a change takes effect, you accept the updated terms.
17. Governing law
These terms are governed by the laws of the Republic of Bulgaria. The courts of Sofia, Bulgaria, have exclusive jurisdiction over any dispute arising from them or from the Service. If any part of these terms is found unenforceable, the rest still applies.
